Terms of Service
Last updated October 20, 2026
Daisy is a desktop application published by Apexis Solutions Inc., doing business as Small Bricktory (“the Studio,” “we,” “us”). It runs on your own computer. These Terms of Service (the “Terms”) are the agreement between you and the Studio for your use of Daisy.
By installing, activating, or using Daisy, or by purchasing a license, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not install or use Daisy. The app may also ask you to accept these Terms the first time you run it.
1. License grant
Subject to these Terms and your active trial or subscription, the Studio grants you a personal, non-exclusive, non-transferable, revocable license to install and use Daisy for your own use. The license is per user and covers up to three (3) devices that you own or control.
The software is licensed to you, not sold. We retain all rights, title, and interest in and to Daisy that are not expressly granted to you here.
2. Acceptable use
Except to the extent any of the following is prohibited by law that applies to you, you agree not to:
- resell, sublicense, rent, lease, share, distribute, or otherwise make Daisy or your license available to anyone else;
- reverse-engineer, decompile, or disassemble Daisy, or attempt to derive its source code;
- circumvent, disable, or tamper with license checks, device or seat activation, or any security or technical limitation in the app;
- remove or alter any proprietary notices, or use Daisy to build a competing product; or
- use Daisy for any unlawful purpose.
3. Your content stays yours
Your audio recordings, transcripts, summaries, and notes are yours. We do not receive them. You are responsible for backing up your own data.
4. Your responsibilities
Recording, notice & consent. You are solely responsible for knowing and complying with all laws on recording, notice, and consent in every jurisdiction where you record, and for how you use your recordings. This includes notifying or obtaining consent from the people being recorded where the law requires it. The same applies to enrolling speaker voiceprints: where a law (such as a biometric-privacy statute) requires notice or consent to collect or process biometric identifiers, obtaining it is your responsibility. We are not liable for your use of Daisy, including any failure to give required notice or obtain required consent.
Your vault passphrase. We cannot recover a lost passphrase. Data it protects, such as stored API keys and voiceprints, may become permanently inaccessible.
Bring-your-own AI keys. If you connect a third-party AI provider with your own API key, that provider’s terms apply and it bills you directly. We are not a party to that relationship.
Health information (PHI). Recording, transcription, and analysis can run entirely on your device. Small Bricktory does not receive your recordings, transcripts, or PHI. We are not a “business associate” under HIPAA and do not enter into Business Associate Agreements (BAAs). If HIPAA applies to you, you remain responsible for your own compliance. With a cloud AI provider, transcript text goes directly from your machine to that provider under your own account and key, and any required BAA with that provider is your responsibility.
Automated analysis and AI-use laws. You are responsible for the prompts you choose and how you use the results. Some uses are restricted by law — the EU AI Act, for example, prohibits using AI to infer people’s emotions in workplace or educational settings.
5. Plans & billing
Daisy comes with a 30-day free trial—no credit card required. After the trial, continued use requires a paid subscription. Plans, terms, and prices are shown at checkout.
Prices are exclusive of any taxes. You are responsible for any sales, use, value-added, or similar taxes that apply to your purchase, which may be added at checkout.
Auto-renewal. Monthly and Yearly plans renew automatically at the end of each term at the price shown at checkout, or in your latest price-change notice if we have sent one, until you cancel. We charge the payment method you gave at checkout. Monthly plans get a reminder of these terms each year, and Yearly plans get a renewal reminder 30 to 45 days before each renewal.
Failed payments. If a renewal payment fails, we may retry the charge and may suspend or end your license until payment succeeds.
Price changes. Price changes apply to future terms only. A new price takes effect at your first renewal at least 30 days after we email you about it, and you may cancel without charge. We change refund or cancellation terms only in ways that do not reduce your rights.
6. Cancellation & refunds
Cancel anytime, online, in the subscription management portal. You can also email support@daisylocal.app and we cancel it for you. No cancellation charge applies. If you cancel before a renewal date, we do not charge you again, and your license runs to the end of the term you have paid for.
Refunds. Payments are non-refundable, except as stated here or required by law. If you live in British Columbia and cancel after a renewal, we refund the unused part of the renewed term within 15 days. The same applies wherever local law gives this right.
EU and UK withdrawal. If you live in the EU or UK, you may withdraw within 14 days of purchase, or of any renewal where the law provides it, for a full refund. Tell us by any clear statement: use the withdrawal page or email support@daisylocal.app. We confirm your withdrawal by email and refund you within 14 days, to your original payment method, at no cost.
Model withdrawal form (optional):
To Apexis Solutions Inc., doing business as Small Bricktory, 2025 Willingdon Ave, Suite 900, Burnaby, British Columbia V5C 0J3, Canada, support@daisylocal.app: I hereby give notice that I withdraw from my contract for the following service: Daisy [plan]. Ordered on: [date]. Name: [ ]. Email: [ ]. Date: [ ].
Perpetual license. The Perpetual license is a one-time purchase that does not renew. The EU and UK withdrawal rights above apply to it. If you buy it with Buy Perpetual in Daisy while you hold a subscription bought from us or on Google Play, that subscription ends right away and you are refunded the unused part of its current billing period.
Nothing in these Terms limits your non-waivable consumer rights.
7. Suspension & termination
We may suspend or end your license if you breach these Terms—for example, by misusing the app, circumventing license or device enforcement, or using Daisy unlawfully. We may also end your license if a required payment is not made. Where it is reasonable to do so, we will give you notice and a chance to fix the problem first.
If we end your license for cause, you are not entitled to a refund of any fees already paid, subject to the mandatory consumer-protection rights described above. Sections that by their nature should survive—including ownership, disclaimers, limitation of liability, indemnification, and governing law—continue to apply after your license ends.
8. Updates & changes to the app
We may release updates and change or remove features. Daisy notifies you when an update is available; you choose when to install. We are not obligated to provide updates, new features, or support.
9. Disclaimers
To the maximum extent permitted by law, Daisy is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that Daisy will be uninterrupted or error-free.
AI-generated transcripts and summaries may contain errors, omissions, or inaccuracies, and are not a substitute for your own review and judgment. Activation and update services may be unavailable. You use Daisy at your own risk. Nothing in these Terms excludes or limits any warranty or right that cannot be excluded or limited under the law that applies to you; where such warranties or rights apply, the disclaimers above apply only to the extent permitted.
10. Limitation of liability
To the maximum extent permitted by law, the Studio will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or related to your use of Daisy. Our total liability for any and all claims relating to Daisy or these Terms will not exceed the greater of (a) the amount you paid us for Daisy in the twelve (12) months before the event giving rise to the claim, or (b) CAD $100.
Some jurisdictions do not allow the exclusion or limitation of certain damages or liability. Where that is the case, the limitations above apply only to the fullest extent those jurisdictions permit.
11. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless the Studio and its owners and contributors from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your content and recordings, your compliance or non-compliance with recording, notice, and consent laws, your use of third-party AI providers, or your breach of these Terms or applicable law.
12. Governing law
These Terms are governed by the laws of the Province of British Columbia, Canada, and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. You agree to the jurisdiction of the courts located in British Columbia, Canada for any dispute that is not otherwise resolved. If you are a consumer, this does not deprive you of the protection of the mandatory laws of your country of residence.
13. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will provide notice—for example, by updating the “Last updated” date above, in the app, or by other reasonable means. Your continued use of Daisy after the changes take effect means you accept the updated Terms.
